MARSS becomes part of EOS

Creating a global defence technology and counter-drone powerhouse

MARSS is pleased to announce that it is joining Electro Optic Systems (EOS), the Australian defence technology company, following the completion of EOS' acquisition of the MARSS Defence business.

MARSS and EOS have enjoyed a longstanding partnership, collaborating on security and counter-UAS programmes across multiple theatres. This acquisition represents the natural next step in that relationship, combining MARSS' proven NiDAR AI-enabled Command and Control platform with EOS' world-leading effectors, sensors, and directed energy capabilities. Together, the combined entity will be positioned to compete as a global leader in large-scale, turnkey solutions for military, homeland security, government, airports and critical infrastructure customers worldwide.

The drone threat continues to grow in scale and sophistication, with coordinated swarm attacks demanding ever more advanced, integrated responses. These threats operate across all domains - air, land, sea, and subsurface - disrupting security and infrastructure for nations. By combining MARSS’ software-led C2 expertise with EOS’ hardware and systems integration strengths, the new EOS business unit will deliver end-to-end capability, from detection and tracking through to defeat.

Together, the combined entity will be positioned to compete as a global leader in large-scale, turnkey solutions for military, homeland security, government, airports and critical infrastructure customers worldwide.

MARSS will continue to operate under its existing leadership, with CEO Johannes Pinl and the current management team remaining in place throughout the earnout period. Day-to-day operations, programme delivery, and customer relationships will continue as normal. All existing contracts remain in force, with terms, commitments, and delivery schedules unchanged. With this new venture and EOS backing, our ability to deliver on commitments and innovation will only be strengthened.

We look forward to sharing more on our combined capabilities in the weeks ahead and during Eurosatory Paris, June 2026 where MARSS will exhibit NiDAR capabilities alongside EOS systems.

The transaction terms include an upfront payment of US$36 million, with additional performance-based consideration of up to US$163 million tied to new order intake over the coming months. The deal reflects the strength of MARSS' technology, customer base, and growth trajectory.
